1. Acceptance of Terms

By accessing or using iListGTA ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use our Platform.

These Terms apply to all visitors, users, and business owners who access or use iListGTA, located at ilistgta.com.

2. Description of Service

iListGTA is an online business directory serving the Greater Toronto Area. We provide:

• A searchable directory of local businesses
• Event listings for GTA community events
• Coupon and deal listings from local businesses
• Tools for business owners to manage their listings
• Inquiry forms for visitors to contact businesses
• iCastz — a short-video promotion feature that allows vendors and influencers to upload short videos to promote products, services, and brands on the Platform

3. User Accounts

Registration

To list a business or access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your password confidential
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activities under your account

Eligibility

You must be at least 18 years old to create an account. By registering, you represent that you meet this age requirement.

4. Business Listings

Content Standards

All submitted listings, events, and coupons must:

• Represent real, operating businesses located in the Greater Toronto Area
• Contain accurate, truthful information
• Not infringe upon any third-party intellectual property rights
• Comply with all applicable Canadian federal and Ontario provincial laws
• Not contain spam, misleading claims, or deceptive content

Review Process

All new listings, events, and coupons are subject to review by our team before publication. We reserve the right to approve, reject, or remove any submission at our sole discretion. Reasons for rejection include (but are not limited to) inaccurate information, inappropriate content, or businesses operating outside the GTA.

Prohibited Content

You may not submit listings for:

• Illegal businesses or activities
• Adult entertainment (unless licensed and compliant with Ontario law)
• Pyramid schemes or multi-level marketing without a legitimate product
• Businesses that discriminate based on protected characteristics under the Ontario Human Rights Code

5. Intellectual Property

By submitting content (text, images, business information) to iListGTA, you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content on our Platform and in promotional materials.

You retain ownership of your content. You represent that you have the right to grant us this licence (e.g., you own any images you upload).

The iListGTA name, logo, website design, and underlying technology are our intellectual property and may not be used without our written permission.

6. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent information
• Impersonate any person or entity
• Attempt to gain unauthorised access to any part of the Platform
• Use automated tools to scrape, harvest, or extract data
• Interfere with or disrupt the Platform's infrastructure
• Post fake reviews or manipulate ratings
• Use the Platform for any unlawful purpose

7. iCastz Short Videos — Overview

iCastz is a short-video feature within the iListGTA Platform designed exclusively for vendors, business owners, and influencers to promote their products, services, and brands. iListGTA acts solely as a technology intermediary and hosting platform; we do not produce, co-author, or editorially control iCastz video content.

By uploading a video through iCastz, you acknowledge and agree to the terms set out in Sections 7 through 13 of this Agreement in addition to all other applicable Terms.

8. Responsible Upload Obligations

Every user who uploads an iCastz video ("Uploader") is solely and entirely responsible for the content of that video. You must ensure that all content you upload:

• Is truthful, accurate, and not misleading to viewers
• Does not violate any applicable law, regulation, or third-party right
• Is appropriate for a general business-promotion context
• Does not contain hidden advertisements, undisclosed sponsorships, or deceptive marketing
• Is not defamatory, harassing, threatening, or hateful toward any individual or group
• Does not include personal information of individuals without their explicit written consent
• Complies with the Canadian Anti-Spam Legislation (CASL) where applicable

Uploading content irresponsibly, carelessly, or in bad faith is a breach of these Terms and may result in immediate account suspension or permanent termination without refund.

9. Pre-Publication Review by iListGTA

All iCastz videos are subject to review and approval by the iListGTA team before they are published or made visible to any user on the Platform. By submitting a video for upload, you understand and agree that:

• Your video will enter a moderation queue and will not be publicly visible until it has been reviewed and approved by iListGTA staff.
• iListGTA reserves the absolute right to approve, reject, or request edits to any submitted video at its sole discretion, for any reason, without obligation to provide a detailed explanation.
• Review timelines are not guaranteed; iListGTA shall not be liable for any delays in the review process.
• Approval of a video does not constitute endorsement of its content by iListGTA.
• Even after publication, iListGTA may remove or re-review any video at any time if new information comes to light or community reports indicate a policy violation.

10. Copyright & Intellectual Property — Uploader Responsibility

The Uploader bears full and sole legal responsibility for ensuring that every element within an iCastz video — including but not limited to:

• Video footage and cinematographic content
• Still images and photographs
• Audio tracks, music, sound effects, and voiceovers
• On-screen text, graphics, and logos
• Third-party brand assets or trademarks

— is either owned outright by the Uploader, licensed under a licence that expressly permits use in commercial promotional material, or falls within a recognised fair dealing or fair use exception under applicable copyright law.

By submitting a video, you represent and warrant that:

• You hold all necessary rights, licences, and permissions for every element in the video.
• Your video does not infringe the copyright, trademark, right of publicity, or any other intellectual-property right of any third party.
• You will indemnify, defend, and hold harmless iListGTA, its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from a copyright or intellectual-property dispute related to your uploaded content.

iListGTA is not liable for any copyright infringement committed by Uploaders. Upon receiving a valid copyright takedown notice (consistent with the Notice and Notice regime under Canada's Copyright Act or equivalent applicable law), iListGTA will promptly investigate and, where required, remove the infringing content.

11. Prohibited Video Content — Adult & Exploitative Material

The following categories of content are strictly prohibited on iCastz and will be removed immediately and without prior notice to the Uploader:

• Adult or sexually explicit content of any kind, including nudity, partial nudity used in a sexual context, or content that sexualises individuals
• Exploitative content that demeans, objectifies, or exploits any person, particularly minors
• Any content involving or depicting minors in an inappropriate or sexualised manner, which may additionally be reported to the relevant Canadian law-enforcement authorities
• Content that promotes, glorifies, or instructs on violence, self-harm, or illegal activities
• Content that constitutes hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Content that violates any applicable Canadian federal, Ontario provincial, or other applicable law

Removal of prohibited content may also result in permanent account termination, forfeiture of any remaining subscription period without refund, and, where legally required, reporting to the appropriate authorities. iListGTA's decision to remove content is final and non-appealable under these Terms.

12. Platform as Intermediary — Limitation of Liability for iCastz Content

iListGTA provides iCastz solely as a neutral technology platform for vendors and influencers to promote their businesses. We are not the author, producer, or publisher of any user-generated iCastz video content. Accordingly:

• iListGTA makes no representations or warranties regarding the accuracy, completeness, quality, or legality of any iCastz video content.
• iListGTA shall not be liable for any loss, damage, or harm arising from a viewer's reliance on iCastz video content.
• iListGTA shall not be liable for any intellectual-property infringement, defamation, or other tortious act committed by an Uploader through their iCastz content.
• Viewers and third parties interact with iCastz content entirely at their own risk.

Nothing in this section limits iListGTA's right to remove content, suspend accounts, or take any other enforcement action it deems appropriate.

13. iCastz Video Validity & Retention — Subscription-Based

The availability, storage duration, and active visibility of iCastz videos on the Platform are entirely dependent on the subscription plan or promotional allocation selected by the Uploader or as otherwise provided by iListGTA at its discretion. Specifically:

• Plan-Linked Validity: Each subscription plan specifies the maximum number of active iCastz videos permitted and the duration for which those videos remain publicly visible on the Platform. Videos uploaded under a given plan will be deactivated or removed from public view upon expiry of the associated plan period.
• Plan Expiry or Downgrade: If a subscription expires, is cancelled, or is downgraded to a lower tier, iCastz videos that exceed the new plan's limits may be immediately and automatically deactivated without notice.
• Company-Provided Allocations: iListGTA may, at its sole discretion, grant complimentary or promotional iCastz video slots to selected users. Such allocations are time-limited and subject to the conditions communicated at the time of grant.
• Data Retention After Deactivation: iListGTA does not guarantee retention of video files after deactivation. Uploaders are solely responsible for maintaining their own copies of uploaded content. iListGTA may permanently delete deactivated video files after a reasonable grace period without further notice.
• No Liability for Deactivation: iListGTA shall not be liable for any loss of business, revenue, or promotional opportunity resulting from the deactivation or deletion of iCastz videos upon plan expiry, cancellation, or policy enforcement.

You are encouraged to review your current subscription plan to understand your iCastz video entitlements and ensure timely renewal to avoid interruption of your promotional content.

14. Disclaimer of Warranties

iListGTA is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not endorse or verify the accuracy of any business information submitted by third parties. Users interact with listed businesses at their own risk.

15. Limitation of Liability

To the maximum extent permitted by Ontario law, iListGTA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of revenue, data, or business opportunities.

Our total liability for any claim shall not exceed $100 CAD or the amount you paid us in the last 12 months, whichever is greater.

16. Termination

We reserve the right to suspend or terminate any account that violates these Terms, with or without notice. You may delete your account at any time through your account settings.

Upon termination, your listings will be removed from public view. We may retain certain information as required by law or for legitimate business purposes.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Ontario.

18. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes by posting a notice on the Platform and updating the "Last Updated" date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
